BYLAWS
A. The official name of this club is the American Motors Club of Houston. The club is a non-profit organization with no paid positions.
B. The Clubs name and official logo shall be specifically represented in the upper left corner of all envelopes and official letterheads and/or correspondence.
PURPOSE
The American Motors Club of Houston was originally founded in 1983 for the express purpose of aiding , encouraging the use , enjoyment , preservation and
restoration of all American Motors vehicles .Further it supports any efforts to advance the perpetuation , image and preservation of AMC cars .
The club should support these goals by driving, racing , showing and the general promotion of AMC's . Any AMC related vehicles built from inception to 1987.
(Nash, Jeep, Kelvinator , Sears, Hudson etc. inclusive.) Any and all are welcome. Any AMC powered car or truck and any AMC car, regardless of the make
of motivation/engine. Ownership and local residency is not required to become a member.
BYLAWS
These bylaws should remain in effect until such time that they are amended by the club Any proposed amendment requires 30 day notice to the membership .
Notice should be given by all means available such as e-mail , telephone and website .Votes may be submitted by all means available . An amendment passes
if approved by a 2/3 majority of those members voting .
MEMBERSHIP
1. The American Motors Club of Houston is a local organization and a Chapter of the National American Motors Owners Association, Inc. (AMO).
Membership is open to all who express an interest in the purpose and goals of the club. AMO membership provides many benefits to its members and
is highly recommended. AMO dues are separate from local dues and are the responsibility of the individual members.
2. An applicant shall be deemed as accepted upon receipt of the completed AMCoH application and full payment of dues given or sent to the Treasurer.
Dues are $20.00 per physical year beginning in April. (Prorated @ $2.00 per month for those joining in midyear months.) Checks should me made
out to American Motors Club of Houston.
3. Prospective members are invited to visit meetings and receive a complimentary newsletter.
4. Any current member in good standing will have the right to run for office, after six months .Family of members are required to maintain an individual
membership to have voting rights and/or run for office. Spouses may participate in volunteer positions. All family members of a paid member are
welcome at all events.
5. Any member or officer may resign his/her position at any time by notifying the Treasurer, in writing. Such action will result in the forfeiture of any
previously paid dues.
6. The Officers may expel or suspend any member whose conduct and or actions, in their judgment, is detrimental to the purposes and goals of this chapter.
Any proposed misconduct must be presented, to the officers only, in writing for consideration. The decision of the Officers as to the validity of proposed
misconduct and any action or non-action is FINAL without further discussion or debate. This is NOT subject to use in a dispute between individuals.
MEETINGS
1. AMCoH meets at 7 PM the second Tuesday of each month. The date, time and place is listed on our website and in our news letter. Time, date
and location are subject to change as circumstances dictate and voted on by the officers/members.
2. The purpose of such meetings is to discuss Club business, previous events, upcoming planned events/activities and share information of interest.
All motions made at the meeting require a majority vote . In addition there must be a quorum present . A quorum should be defined by a minimum
of 3 officers and 4 members .All members are encouraged to drive an AMC to all meetings and events.
NEWSLETTER
The AMCoH newsletter (Edited by a committee of volunteers) , "The Texas Takeover", is published bimonthly , and received by all current members
and other Chapters on an exchange basis. Members are encouraged to contribute any potential information or articles to the newsletter. The editering
team (minimum of two) will coordinate the information and regulate final mass/bulk of the output to facilitate printing and postage. There is no additional
charge for those out of town or State members. There is no charge for articles of AMC cars or parts "For Sale". Information or AMCs sighted by Club
members may be shared at meetings and/or in the Newsletter.
Texas AMC Lone Star Regional
The Texas AMC Lone Star Regional car show, swap meet and race is alternately hosted and sponsored by the American Motors Club of Houston, Alamo
AMC and The North Texas AMC, clubs. Held annually, predominately in June, at locations selected by the respective club. All AMCs are welcome.
Officers are elected for two year terms. Elections are in April of odd numbered years .
OFFICER DUTIES:
President
(a) Signs legally binding documents on behalf of the club.
(b) Represents the club to other organizations, either in person or
by delegation of authority.
(c) Presides at all club meetings.
(d) Oversees and ensures the duties of the other officers and committees.
Vice-President
(a) Assumes the duties of the President, in his absence, at meetings, as needed.
(b) Coordinates budget.
(c) Assists committees to support and produce special events.
(d) Initiate activities reminders to members.
Secretary
(a) Maintains and publishes a current club roster.
(b) Records minutes of all business discussed at club meetings.
(c) Maintains Club by-laws, and provide copies to all new members.
Treasurer
The Club Treasury is maintained by the elected Treasurer in a separate bank account with a minimum of two Club officers (Treasurer and President) having
access to the account. Treasurer shall:
(a) Receive, processes and maintains membership applications and funds.
(b) Collects membership renewal funds and disburse Club funds as needed .(All reimbursement requests must be accompanied by an original receipt, for proper
identification and documentation.)
(c) Maintains inventories of all Club property. Oversees sales of Club products.
(d) Maintains a list of current paid memberships with names, address and phone/cell numbers.
(e) Provides financial reports at scheduled meetings.
(f) Coordinates allocations to ensure sufficient funds to cover all Club commitments.
(g) Commits Club funds only with prior approval by majority attending verbal ballot or with submission of receipts for valid/authorized Club expenditures.
Activities Director
(a) Shall offer to the membership, a yearly proposed Club activities agenda at the first meeting of every year for consideration and approval.
(b) Shall provide required paper work, coordinate and supervise approved activities. No Club activities are scheduled in December to allow for
individual FAMILY Holiday activities and January for an overall break.) December & January Scheduled MONTHLY meetings will be held.
(c) Establishes and coordinates committees to support and produce all special activities.
(d) Oversees and administrates the social activities of the club.
NOTE: Spontaneous and/or unforeseen suggested potential activities may
be brought to the directors and/or memberships attention for review
and approval at anytime as they may occur. In consideration of the right to participate, entrants, participants and spectators release and discharge
AMC of HOUSTON from any and all known damages, losses. judgments and/or from claims that may be suffered by any entrants to his/her property.
NON-OFFICIATING VOLUNTEER POSITIONS
Club photographer
Will take photos at activities, maintain Club Album and Club related articles and photos.
Web Master/Web Advisor
Will maintain and facilitate the Club owned Web Site with the assistance and unanimous joint consensus of the web master and two appointed advisors.
Any indecisive action will be brought before the Officers for approval. In the event the Officers are unable to reach a unanimous decision, the Club Members
will be asked to participate in final action.
Newsletter Editor Team
Will be responsible for the computer production, publishing, printing/mailing and /E-mailing of the bi-monthly publication to the members and club exchange
participants. Newsletters will be E-mailed to ALL who have not notified their preference for printed editions. Members have the choice of e-mailed ,
printed or web posted newsletter ..
By your application and acceptance AS A MEMBER:
IT IS AGREED, UNDERSTOOD and accepted BY ALL MEMBERS, OFFICERS AND VOLUNTEERS OF THE CLUB
ANY AND ALL ELECTED AND VOLUNTEERED PRODUCTIVITY RESULTING FROM ENACTED AND OR PERFORMED EFFORTS ARE
TOTALLY VOLUNTEERED AND RESULTING PRODUCT BY SAID PERSONS SHALL BE DEEMED AS THE SOLE PROPERTY OF THE CLUB.
UPON VACATING OR REQUEST OF RELEASE OF DUTIES EITHER BY THE INDIVIDUAL OR THE CLUB, ALL REQUIRED INFORMATION
AND PRODUCT WILL BE RELEASED AND RELINQUISHED TO THE CLUB. INCLUSIVE BUT NOT LIMITED TO: MONEYS AND ACCOUNTS,
PICTURES, ARCHIVES, ACCESS CODES, PASS WORDS, AUTHORIZATION RESPONSIBILITIES, PROGRAMS, TAPES, DISC', FILES, CLUB
OWNED MATERIALS, EQUIPMENT AND ANY AND ALL PERTINENT PRODUCT AND/OR INFORMATION UTILIZED IN THE PERFORMANCE
OF THE RESPONSIBILITIES AND DUTIES OF THE POSITION.
